Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the Moneta Pay POS platform, including the POS client software, management dashboard, customer portal, and related services (collectively, the "Service") operated by Holocorp Ltd ("Company", "we", "us").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Moneta Pay POS is a restaurant point-of-sale system that provides:
- Order management and kitchen ticket printing
- Payment processing (cash, card, and mobile money)
- Staff management and performance analytics
- Tax and fiscal compliance features
- Inventory and stock tracking
- Reporting and business intelligence
- Optional add-on features (Remote Access, Managed Backup, CCTV Integration, Market Intelligence, and others)
3. Account Registration
To use the Service, you must register for an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Promptly notifying us of any unauthorized access
You must be at least 18 years old and have the legal authority to bind the business entity you register on behalf of.
4. Subscription Plans and Billing
Plans
The Service is offered under multiple subscription tiers (Free Cloud, Starter, Growth, Pro, Enterprise) with varying capacity limits and features. Current pricing is available at moneta-pay.app/pricing.
Billing
- Paid plans are billed monthly or annually in advance
- Payments may be made by credit/debit card or M-PESA
- Card subscriptions auto-renew unless cancelled before the renewal date
- M-PESA payments are one-time per billing period and do not auto-renew
- All prices are in Kenyan Shillings (KES) unless otherwise stated
Free Trial
New accounts receive a 21-day full-experience trial with all features enabled. After the trial period, your account will transition to the Free Cloud plan unless you subscribe to a paid plan. A 7-day grace period is provided after trial or subscription expiry.
Refunds
Subscription fees are non-refundable except where required by applicable law. If you experience a service issue, contact us and we will work to resolve it.
5. License
Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Service for your internal business operations.
Licenses are bound to specific hardware. You may not:
- Copy, modify, or distribute the software
- Reverse engineer, decompile, or disassemble the software
- Transfer your license to another party or hardware without our authorization
- Use the Service for any unlawful purpose
- Exceed the capacity limits of your subscription plan (waiters, terminals, revenue cap)
6. Reseller Program
Authorized resellers may purchase license credits at a discount and issue licenses to their customers. Resellers are responsible for their customer relationships and must comply with our Reseller Agreement. Reseller status may be revoked for violation of these Terms.
7. Data Ownership
You retain ownership of all data you input into the Service ("Your Data"), including orders, menu items, staff records, and financial data. We do not claim ownership over Your Data.
You grant us a limited license to process Your Data solely to provide the Service, including:
- Storing and backing up data (if Managed Backup is enabled)
- Submitting fiscal data to tax authorities (if ESD is enabled)
- Generating anonymized, aggregated benchmarks (if Market Intelligence is enabled)
8. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The POS client operates on-premise and is designed to function independently of our cloud services. Cloud features (portal, license validation, Remote Access, Managed Backup) depend on internet connectivity.
We are not liable for downtime caused by:
- Your local network, hardware, or power infrastructure
- Third-party services (payment processors, tax authorities)
- Scheduled maintenance (communicated in advance)
- Force majeure events
9. Fiscal Compliance
The ESD (Electronic Signature Device) feature facilitates submission of fiscal data to tax authorities. While we strive for accurate and timely submissions, you remain solely responsible for your tax compliance obligations. We are not a tax advisor and do not guarantee compliance with any specific tax regime.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from the Service shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for any loss of revenue, data, or business opportunity arising from use of the Service
11. Indemnification
You agree to indemnify and hold harmless Holocorp Ltd, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
12. Termination
- You may cancel your subscription at any time from the portal. Cancellation takes effect at the end of the current billing period.
- We may suspend or terminate your account for violation of these Terms, non-payment, or fraudulent activity.
- Upon termination, your license is revoked. Your on-premise data remains on your server. Cloud-stored data is deleted after the retention periods specified in our Privacy Policy.
13. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via email or the portal. Continued use of the Service after changes constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Republic of Kenya. Any disputes shall be resolved in the courts of Nairobi, Kenya.
